Welcome to Talnet, a professional matchmaking service connecting Talent with Employers. These Terms of Service ("Terms") apply to your access and use of our platform, including our website, apps, and related services (collectively, the "Platform").

By registering or using our Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Overview of Our Service

Talnet offers:

  • For Talent: the ability to create profiles and apply to jobs or projects. The first 5 applications are free. Subscription plans allow unlimited applications and visibility.
  • For Employers: the ability to post roles and invite Talent to interview. The first 5 invites are free. Subscription plans allow broader access and unlimited outreach.

We act as a matchmaking service, not an employment agency or recruiter.

2. Eligibility

To use our Platform, you must:

  • Be at least 18 years old or the age of majority in your jurisdiction.
  • Have the legal right and authority to agree to these Terms.

If you use the Platform on behalf of an organization, you confirm that you're authorized to bind that entity to these Terms.

3. Account Responsibilities

You agree to:

  • Provide accurate and up-to-date information.
  • Maintain the confidentiality of your login credentials.
  • Be responsible for all activity under your account.

We reserve the right to suspend or terminate any account at our sole discretion for violations of these Terms or harmful activity.

4. Subscriptions and Payments

  • Users begin with a free tier (5 applications/invites).
  • Subscription upgrades provide added functionality.
  • Payment is collected via secure third-party processors.
  • Subscriptions renew automatically unless cancelled.
  • No refunds will be issued except where required by law.
  • All pricing is disclosed before purchase.

5. Matchmaking and Platform Role

Our algorithm facilitates connections, but we do not:

  • Guarantee employment or hiring outcomes.
  • Verify every job or profile listed.
  • Intervene in communications unless required by law or reports of misconduct.

Responsibility for due diligence lies with users.

6. Prohibited Use

You may not:

  • Misrepresent your identity or qualifications.
  • Circumvent or manipulate Platform mechanics (e.g., taking communication off-platform to avoid fees).
  • Harass, threaten, or exploit others.
  • Use bots, scrapers, or unauthorized software.
  • Engage in illegal or harmful activity.

Violations may result in account termination and legal action.

7. Content and Licensing

You retain ownership of content you upload (e.g., resumes, profiles), but grant us a non-exclusive license to display, use, and distribute it as needed to operate and promote the Platform.

We may remove content that violates these Terms or applicable laws.

8. Privacy and Data Use

We are committed to user privacy. We collect only the data necessary to operate our service, as outlined in our Privacy Policy below.

We do not sell or rent personal data.

9. Dispute Resolution

EU users: You may access EU dispute resolution bodies under consumer law.

US users: You agree to first attempt resolution through our support team. If unresolved, disputes shall be settled through binding arbitration in accordance with applicable laws.

Class action waivers may apply based on your jurisdiction.

10. Disclaimer and Limitation of Liability

We provide the Platform "as-is." We do not guarantee:

  • Continuous availability or error-free performance.
  • That users will achieve particular results.

To the maximum extent allowed by law, we are not liable for indirect, incidental, punitive, or consequential damages. Our total liability is limited to the amount paid by you in the 12 months prior to a claim.

11. Governing Law

EU Users: These Terms are governed by the laws of Lithuania, with jurisdiction in Vilnius.

US Users: These Terms are governed by the laws of the state of Delaware, without regard to conflict of laws principles.

12. Changes to Terms

We may update these Terms from time to time. If changes are material, we'll notify users by email or via the Platform. Continued use of the Platform after changes means you accept the updated Terms.
